These Terms govern BidPilot. By requesting an account, accepting a pilot order, using a workspace, or submitting a live demo, the customer and its authorized users agree to them. A signed order or Pilot and Data Processing Agreement controls if it conflicts with these general Terms.
1. Service and required review
BidPilot is an AI-assisted, review-first estimating workspace for commercial interiors. It extracts candidate requirements, conditions, quantities, risks, and proposal language. It is not an autonomous estimator, quantity surveyor, engineer, architect, lawyer, procurement service, or bid-submission agent.
2. Accounts
Customers must provide accurate business information, protect authentication access, limit accounts to authorized personnel, and report suspected unauthorized use. One office subscription may not be shared with unrelated organizations.
3. Upload authorization
For every upload, the customer represents that it owns the document or has authority and permission to process it through BidPilot and its listed service providers; the upload violates no tender rule, confidentiality duty, intellectual-property or privacy right, law, or contract; required notices and consents have been provided; and unnecessary personal information has been removed.
Do not upload payment-card data, passwords, personal health information, government-classified information, malware, unlawful content, or documents prohibited from third-party or AI processing. Public demos must use only historical, non-confidential or permission-cleared documents.
4. Acceptable use
Users may not bypass access controls, disrupt or probe the service, exhaust resources through automation, upload malicious files, reverse engineer protected portions, resell access without permission, misrepresent output as independently certified, or use BidPilot unlawfully.
5. Customer data
The customer retains its rights in customer data and grants TBay Tech Service a limited licence to host, transmit, and process it only to provide, secure, support, and comply with law for BidPilot. BidPilot will not sell customer data or train a shared BidPilot model on customer documents. De-identified operational metrics may be used only when they do not reveal customer identity, document content, projects, pricing, or confidential information.
6. Providers, privacy, and confidentiality
BidPilot depends on Cloudflare, OpenAI, Resend, and Wave as described in the Privacy Policy. Each party must protect the other’s non-public business information with reasonable care and use it only for the agreement, subject to lawful disclosure.
7. Fees and termination
Fees are stated in the accepted order and invoiced through Wave. Unless stated otherwise, fees are in Canadian dollars, exclusive of tax, and due as shown on the invoice. BidPilot does not automatically charge payment cards. Either party may end a month-to-month pilot on written notice; access may be suspended for security threats, unlawful use, material breach, or overdue invoices.
8. Intellectual property
TBay Tech Service owns the BidPilot software, design, documentation, and improvements. Customers receive a limited internal-use right during the service period. Customer-specific output belongs to the customer, subject to third-party rights in source material.
9. Disclaimers and liability
The service and demo are provided “as is” and “as available.” To the maximum extent permitted by law, TBay Tech Service disclaims implied warranties of merchantability, fitness, non-infringement, uninterrupted availability, and accuracy. No output is a guaranteed takeoff, price, schedule, legal conclusion, code determination, or winning bid.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profit, revenue, opportunity, goodwill, or data. TBay Tech Service’s aggregate liability will not exceed fees paid by the customer in the three months before the event giving rise to the claim, except where law prohibits that limit.
10. Customer indemnity
The customer will defend and indemnify TBay Tech Service against third-party claims arising from customer documents, lack of upload authority, unlawful use, or the customer’s submitted bid, except to the extent caused by TBay Tech Service’s breach or wilful misconduct.
11. Governing law and contact
Ontario law and applicable Canadian federal law govern. Courts in Thunder Bay, Ontario have exclusive jurisdiction unless the parties agree otherwise. Questions and notices: admin@tbaytechservice.com.
